Practice Areas - Ms. Pondoff provides general corporate law and business advice to individuals and business organizations in connection with the formation and development of business entities, internal governance issues and business transactions, including mergers and acquisitions, private capital investment projects and general business matters. She has additional experience in general commercial litigation and in commercial real estate transactions, including retail and office leases/subleases, the purchase and sale of buildings, and transactions involving cooperative and condominium buildings.
Ms. Pondoff has advised clients who operate in a variety of industries including real estate development, hospitality, computer software development, international clothing and retail, printing, accounting and international transportation. She has also lectured on commercial real estate matters and corporate transactions for the Westchester County Bar Association.
Bar Admissions and Publications - Ms. Pondoff was admitted to practice in New York in 1999. She is also a member of the New York City Bar Association, where she serves on the Committee on International Security Affairs, and is a member of both the New York State Bar Association and the Westchester County Bar Association. She is the author of Transfer Taxes: The Oft-Neglected Consideration in Mergers and Acquisitions where Assets include Real Property and/or Leasehold Interests, November 2007, and co-author of Considerations for Establishing a Retail Store in New York City, Davenport Lyons Retail News, October 2007.
Biography - Ms. Pondoff is originally from Miami, Florida and graduated cum laude from Florida State University in December, 1990, earning a degree in International Affairs and Economics. After a year of study in Paris, France, she relocated to New York and attended New York Law School, where she graduated cum laude in 1998. While attending New York Law School, she was a member of The Journal of International and Comparative Law, and served as a judicial intern with Hon. Andrew J. Peck in the U.S. District Court, Southern District of New York and as an intern with the U.S. Attorney’s Office, Southern District of New York.
After graduating from law school, Ms. Pondoff worked for Seeger, Weiss L.L.P. and the Cuneo Law Group, where she mediated and arbitrated the appeal claims of hundreds of class action members as part of an Alternative Dispute Process where the underlying action involved violations of insurance law and state and federal securities regulations. In 1999, she joined Harrington, Ocko & Monk, LLP, where she worked as a litigation and corporate/real estate associate for 7 years. In 2006, she left the Firm to work as a senior associate in the Corporate Department of Day Pitney LLP. She returned to Harrington Ocko & Monk, LLP as a Partner in 2008.
